Introduction These Terms of Service ("Terms") govern your access to and use of the Kelo marketplace and any related services provided by Kelo Gear Ltd ("Kelo", "we", "our" or "us"). By creating an account, listing an item, purchasing an item, communicating through the marketplace or otherwise using our services, you agree to be legally bound by these Terms. If you do not agree to these Terms, you must not access or use the Kelo marketplace. These Terms should be read alongside our Privacy Policy and any other policies published on our website.

About Kelo Kelo is an online marketplace dedicated to extending the life of quality outdoor sports gear by connecting buyers and sellers of pre-owned equipment. Our marketplace may also facilitate community initiatives including equipment repair programmes, charitable donations and other sustainability projects. Unless expressly stated otherwise, Kelo acts solely as the operator of the marketplace and is not a party to the contract of sale between buyers and third-party sellers. Where Kelo sells items directly, or acts as an authorised agent on behalf of another party, this will be clearly identified within the relevant listing. Eligibility To use the marketplace you must: be at least 18 years of age, or use the marketplace with the permission and supervision of a parent or legal guardian where permitted by applicable law; provide accurate, complete and up-to-date information; use the marketplace only for lawful purposes; and comply with these Terms and all applicable laws. We may refuse access to the marketplace or suspend or terminate accounts where we reasonably believe these requirements have not been met.

Your Account You are responsible for maintaining the confidentiality and security of your account credentials. You agree to: keep your password secure; ensure the information associated with your account remains accurate; notify us promptly if you suspect unauthorised access to your account; and accept responsibility for all activity carried out using your account. You must not: create an account using false or misleading information; impersonate another individual or organisation; create multiple accounts to circumvent marketplace restrictions; or transfer your account to another person without our prior written consent. We reserve the right to suspend, restrict or permanently close any account where we reasonably believe these Terms have been breached or where continued access may present a risk to the marketplace or its users.

How the Marketplace Works Kelo provides an online platform that enables users to buy and sell pre-owned outdoor sports gear. Unless a listing clearly states otherwise, all items listed on the marketplace are offered for sale by independent sellers and not by Kelo. Kelo does not take ownership of items listed by third-party sellers and is not responsible for: the accuracy of listings; the quality or condition of listed items; statements made by sellers; the performance of contracts between buyers and sellers; or the conduct of marketplace users. Our role is to provide and maintain the marketplace, facilitate communication and payments, review listings where appropriate, and help users resolve disputes where reasonably possible. Where Kelo sells an item directly, including repaired or donated equipment, Kelo will be identified as the seller within the listing and the relevant consumer rights will apply.

Listings Sellers are responsible for ensuring that every listing is accurate, complete and not misleading. Each listing should include sufficient information for a buyer to make an informed purchasing decision, including: an accurate description of the item; its condition and any defects; clear photographs; relevant sizes, specifications or compatibility information where appropriate; and any other information that could reasonably influence a purchasing decision. Kelo may review listings before publication but is under no obligation to verify every listing or inspect every item. We reserve the right, at our sole discretion, to edit, reject, suspend or remove any listing that: breaches these Terms; contains inaccurate or misleading information; infringes the rights of another person; presents a safety risk; or is otherwise unsuitable for the marketplace. Approval of a listing by Kelo does not constitute a guarantee of its accuracy, legality or safety.

Ownership of Items By listing an item for sale, you warrant that: you are the legal owner of the item or have authority to sell it; the item has not been stolen; the item is free from finance or other legal restrictions that would prevent its sale; the listing does not infringe any intellectual property rights; the item complies with all applicable laws; and you have accurately described its condition. You agree to indemnify Kelo against any claims, losses or liabilities arising from a breach of these warranties.

Buying and Selling By using the marketplace, buyers and sellers enter into a legally binding contract directly with one another unless a listing clearly states that Kelo is the seller. Kelo provides the platform through which transactions take place but, except where expressly stated, is not a party to the contract between buyer and seller. Both buyers and sellers agree to act honestly, fairly and in good faith throughout every transaction.
Seller Responsibilities As a seller, you agree to: accurately describe each item you list for sale; disclose any defects, damage, repairs or missing components that could reasonably influence a buyer's decision; upload photographs that fairly represent the current condition of the item; dispatch sold items within the timeframe stated in your listing; package items appropriately to minimise the risk of damage during transit; communicate promptly and courteously with buyers where necessary; and comply with all applicable laws and these Terms. You remain responsible for the accuracy of your listings and the condition of any item you sell. Repeated failure to fulfil orders, misleading listings or poor seller conduct may result in the suspension or permanent closure of your account.
Buyer Responsibilities As a buyer, you agree to: review listings carefully before making a purchase; ask any questions before completing a transaction; ensure your delivery details are accurate; complete payment using the marketplace checkout; communicate respectfully with sellers; and inspect items promptly upon receipt. As most items sold through Kelo are pre-owned, buyers acknowledge that signs of normal use should be expected unless a listing clearly states otherwise.
Pricing Independent sellers are responsible for determining the prices of their own listings. Prices should reasonably reflect the item's condition, age, rarity and market value. Kelo reserves the right to remove or suspend listings that contain pricing intended to mislead users or manipulate the marketplace.

Marketplace Fees Kelo charges a marketplace service fee on completed transactions. The current marketplace fee is displayed on the marketplace at the time of listing and may be amended from time to time. Any changes to marketplace fees will apply only to future listings and transactions and will be communicated before taking effect. Marketplace fees contribute towards: payment processing; marketplace infrastructure; customer support; fraud prevention; platform development; and the ongoing operation of Kelo.

Payments All payments must be completed using the payment methods provided through the Kelo marketplace. Payments are securely processed by authorised third-party payment providers. Kelo does not store or process full payment card details. Funds will be released in accordance with the payment procedures of the marketplace and the relevant payment provider. Kelo reserves the right to delay or withhold payment where reasonably necessary to: investigate suspected fraud; comply with legal obligations; resolve payment disputes; protect users from financial loss; or comply with the requirements of payment providers.

Shipping and Delivery Unless otherwise agreed between the buyer and seller: the seller is responsible for packaging the item appropriately; the seller is responsible for dispatching the item within the stated timeframe; the buyer is responsible for providing an accurate delivery address; and any shipping costs will be displayed before checkout. Risk in the item passes to the buyer upon confirmed delivery unless otherwise required by applicable consumer legislation. Estimated delivery times are provided for guidance only. Kelo is not responsible for delays caused by postal operators, courier services, customs authorities or circumstances beyond our reasonable control.
Collection in Person Where buyers and sellers choose to complete a transaction in person, they do so entirely at their own risk. We recommend that users: meet in a safe public location where appropriate; inspect the item before accepting it; retain records of the transaction; and continue communicating through the Kelo marketplace wherever possible. Kelo accepts no responsibility for arrangements made between users outside the marketplace.
- Returns, Refunds and Cancellations Unless Kelo is identified as the seller, the contract of sale exists solely between the buyer and the seller. As the majority of items sold through the marketplace are second-hand goods sold by independent sellers, buyers should carefully review each listing before purchasing. Returns or refunds are not automatically available simply because a buyer changes their mind. A buyer may have grounds to request a refund where: the item received differs materially from its description; the wrong item has been supplied; the item arrives significantly damaged as a result of inadequate packaging; or the seller has expressly agreed to accept a return. Where Kelo acts as the seller, the applicable returns policy will be stated within the listing and any statutory consumer rights will apply.
Disputes If a dispute arises, buyers and sellers should first attempt to resolve the matter directly through the Kelo messaging system. Where requested, Kelo may review information provided by both parties and assist in facilitating a fair resolution. While we will make reasonable efforts to help resolve disputes, Kelo is not an arbitrator and does not guarantee that a dispute will be resolved in favour of either party. Nothing in this section prevents either party from pursuing any legal rights available to them under applicable law. 13. Prohibited Items To protect our community, certain items may not be listed or sold through the Kelo marketplace. Prohibited items include, but are not limited to: counterfeit or replica products; stolen goods; recalled products; illegal goods; hazardous materials; weapons or controlled items; food, drink or perishable goods; products that infringe intellectual property rights; equipment that has been modified in a manner that compromises its safety; and any item which Kelo reasonably considers unsuitable for resale. In addition, Kelo reserves the right to prohibit the sale of safety-critical equipment where we believe resale presents an unacceptable risk. Examples may include: climbing ropes; climbing slings and sewn runners; industrial fall-arrest equipment; damaged climbing hardware; helmets that have sustained an impact or exceeded the manufacturer's recommended service life; avalanche airbags and certain avalanche safety equipment; and any other item identified by Kelo as presenting an unacceptable safety risk. Kelo may amend this list from time to time without prior notice.

Community Standards Kelo is committed to maintaining a respectful, trustworthy and inclusive marketplace. Users must not: harass, threaten or abuse other users; use discriminatory, offensive or unlawful language; manipulate ratings or reviews; submit fraudulent or misleading listings; attempt to avoid marketplace fees by completing transactions outside the platform after introductions have been made through Kelo; interfere with the operation or security of the marketplace; or engage in any activity that may damage the reputation of Kelo or its users. We reserve the right to suspend or permanently terminate accounts that breach these standards.

Community Initiatives From time to time, Kelo may operate initiatives designed to support sustainability, outdoor participation and the circular economy. These initiatives may include equipment repair programmes, donated gear schemes, charitable fundraising, Gear for Groms and similar community projects. Participation in these initiatives is voluntary and may be subject to additional terms published at the time. Kelo reserves the right to amend, suspend or discontinue any initiative at any time without liability.
Repair Programmes Where equipment is submitted to Kelo for repair, assessment or resale: Kelo may inspect the item before accepting it; we may decline equipment that is unsafe, uneconomical to repair or unsuitable for resale; repairs may be undertaken by Kelo or appropriately qualified third parties; repaired equipment will remain second-hand equipment; and acceptance of an item does not guarantee that it will be repaired or sold. Where repaired equipment is sold on behalf of its owner, any agreed repair costs, marketplace fees and associated selling costs may be deducted before the remaining proceeds are distributed.

Safety Outdoor sports involve inherent risks. Users are solely responsible for ensuring that any equipment purchased through the marketplace is appropriate for their intended activity, experience level and environmental conditions. Buyers should: inspect equipment carefully before use; replace worn or damaged safety-critical components where appropriate; follow the manufacturer's guidance; arrange professional inspection or servicing where recommended; and discontinue use of any equipment that appears unsafe. Kelo does not certify that any item listed by an independent seller is safe, fit for purpose or suitable for any particular activity.

Limitation of Liability Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded under the laws of England and Wales, including liability for: death or personal injury caused by negligence; fraud or fraudulent misrepresentation; or any other liability that cannot legally be excluded. Subject to the above, and to the fullest extent permitted by law: Kelo is not responsible for the acts or omissions of buyers or sellers; Kelo does not guarantee the accuracy of listings created by third parties; Kelo does not guarantee that items listed by third-party sellers are genuine, safe, fit for purpose or free from defects; Kelo does not guarantee uninterrupted availability of the marketplace; and Kelo shall not be liable for any indirect, incidental, consequential or economic loss, including loss of profits, business, data, goodwill or opportunity. Where Kelo is found liable for any claim arising from the use of the marketplace, our total liability shall not exceed the total marketplace fees received by Kelo in connection with the transaction giving rise to the claim.

Gear Guru Gear Guru is provided to assist users in selecting equipment that may be suitable for their intended activities. Recommendations are based solely on the information provided by the user together with Kelo's knowledge and experience of outdoor equipment. Gear Guru provides general guidance only and should not be regarded as professional, engineering, technical or safety advice. Users remain solely responsible for deciding whether equipment is suitable for their own needs and should seek independent advice where appropriate, particularly when purchasing specialist or safety-critical equipment. Kelo accepts no liability for any decision made in reliance upon recommendations provided through Gear Guru.

Intellectual Property Unless otherwise stated, all intellectual property rights in the Kelo marketplace, including its branding, logos, website content, text, graphics and software, belong to Kelo Gear Ltd or its licensors. You may not copy, reproduce, modify, distribute or commercially exploit any part of the marketplace without our prior written permission. Nothing in these Terms transfers ownership of any intellectual property rights to users of the marketplace.

Changes to these Terms We may amend these Terms from time to time to reflect changes in our business, marketplace functionality or applicable law. Where changes are material, we will take reasonable steps to notify registered users before the revised Terms take effect. Your continued use of the marketplace after the effective date of any revised Terms constitutes acceptance of those changes.

Governing Law These Terms shall be governed by and interpreted in accordance with the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory consumer protection legislation provides otherwise.
